Osborne Clarke has advised the Canadian Octane Group on the acquisition of Aesculap AG's stake in Reutlingen-based TETEC Tissue Engineering Technologies AG on an interdisciplinary basis. The parties have agreed not to disclose the transaction volume.

Octane is a global group of companies headquartered in Ontario, Canada, with subsidiaries in the USA and Europe. Octane specialises in innovative processes, biomaterials and bioreactors for regenerative medicine. The group includes among others Octane Clinical Systems, Octane Orthobiologics, Octane Exo, Octane Biotech and Octane Biotherapeutics (BioTx).

TETEC, a company specialising in regenerative medicine, was integrated into the international medical technology group B. Braun via the Tuttlingen-based surgical division Aesculap. In future, Aesculap will focus even more strategically on innovative medical technology relating to surgical processes in the operating theatre, which means that the regenerative medicine business no longer fits into  B. Braun group's portfolio.

B. Braun has already been working with Octane in the USA for over ten years. With the completion of the transaction, the Canadian specialist for regenerative medicine has completely taken over TETEC, including the approximately 160 highly specialised employees at the Reutlingen site.

The Osborne Clarke team that advised Octane on the acquisition was led by Rudolf-Matthias Hübner (Corporate) and consisted of Rouven Siegemund, Dr Phillip Reeb, Benedikt Hülsmann and Victor Robertz (all M&A/Corporate), Susanne Kühlthau and Dr Karen Frehmel-Kück (both Restructuring/Corporate), Dr Timo Karsten, Sonja Riedemann, Sabine Wahl, Karin Sültrop and Maren Makowka (all Employment), Dr Sebastian Hack and Susanne Schricker (both Merger Control), Dr Andrea Schmoll, Dr Stephan Reisner and Dr. Jonas Völkel (all IP), Christoph Boeminghaus and Nikolaos Xenidis (both Commercial), Heiko Petzold and Dr. Mareike Klopp (both Real Estate) as well as Dr Flemming Moos and Helen Willi (both Data Protection).
