We are pleased to announce that Osborne Clarke Poland advised a coalition of 11 beverage companies (listed in alphabetical order): Coca-Cola HBC Polska sp. z o.o., Colian sp. z o.o., Grupa Maspex sp. z o.o., Nałęczów-Zdrój sp. z o.o., Nestle Polska S.A., Pepsi-Cola General Bottlers Poland sp. z o.o., Red Bull sp. z o.o., Oshee Polska sp. z o.o., Van Pur S.A., Zbyszko Company S.A., Żywiec-Zdrój S.A., operating with the support of PFPŻ in the establishment of Kaucja.pl National Deposit System S.A.
The firm acted as the legal advisor at all stages of this project and was recently involved in project management.
As part of its advisory services, Osborne Clarke provided support in the areas of corporate governance, antitrust issues, financing, and conducting operational and business activities, with particular attention to supporting the legal framework for an effective deposit system to be operated by Kaucja.pl.
The aim of the newly established company Kaucja.pl is to serve as the representative entity, i.e., the operator of the deposit system. This is the first entity representing such a significant part of the beverage sector in Poland. Huge congratulations to the newly appointed management board of Kaucja.pl: Piotr Okurowski (CEO), Maria Dąbrowska (CFO)!
This unique project was led by Dr Katarzyna Barańska, Partner and Head of Decarbonisation Practice at Osborne Clarke in Warsaw, whose knowledge and experience were crucial in the implementation of this project. Katarzyna also acted as the attorney for the future shareholders. Olgierd Świerzewski, Co-Managing Partner of the firm, provided strategic project management.
We are proud that OC was part of this innovative project, bringing significant changes to the beverage sector. The Polish deposit system will be the second largest in the EU.
