Osborne Clarke has advised London-based tech group Onfido, an AI-based digital identity solution, on the French law aspects related to the sale of its entire share capital to US digital identity leader Entrust Corporation, which specialises in identity certification and verification around payment methods.
This sale will enable Entrust Corporation to leverage its leadership across the entire digital identity lifecycle by integrating Onfido's AI expertise into Entrust's technology.
The transaction also represents the biggest Venture Capital exit in the United Kingdom in the past two years, the largest UK fintech acquisition since December 2021 and the highest global, software growth-adjusted EV / NTM Revenue multiple achieved since 2021.
