LB Officine Meccaniche S.p.A., leader in the design and construction of plants and machinery for the treatment of slurries and powders for a variety of industrial applications, has acquired the majority of the share capital of Barcom S.r.l., a company specialising in environmental technologies for air, smoke and water treatment and dust filtration. The acquisition of Barcom forms part of a strategy aimed at expanding the range of products and services offered by the group, which anow includes filtration and treatment of air, water, dust and polluting agents.
Osborne Clarke advised LB Officine Meccaniche advised on the legal due diligence and in the drafting and negotiation of the transaction documents with a team led by partner Giuliano Lanzavecchia with senior lawyer Chiara Carioti.
The purchaser was also assisted by Astraco, the independent advisory company that organised the entry in 2019 of a club deal in LB Officine Meccaniche S.p.A., with Laura Della Chiara, Gianni Dini, Chiara Cignoli and Sebastiano Totta. New Deal Advisors managed the financial due diligence with a team led by Guido Pelissero. BIP assisted LB Officine Meccaniche in the business due diligence with a team led by Laura Amadesi and Federico Falco. Pavia&Ansaldo oversaw the tax due diligence with partner Niccolò Poggio.
