Osborne Clarke has advised the shareholders of the Cologne-based agency Ambient Digital on the merger with the Dutch digital service provider House of Clouds.

Ambient Digital, founded in 2010 by Dennis Gilliam, specialises in IT, web and app development and supports its clients in digital transformation. With a team of around 100 employees and an additional office in Berlin, the Cologne agency offers customised solutions for web services, cloud integration and application development.

House of Clouds, based in Eindhoven and Rotterdam, includes the companies Whyellow, Defenced, and Synobsys. The group focuses on identifying, controlling, and automating business and IT processes.

Now, Ambient Digital and House of Clouds are joining forces, enabling the latter to expand its service portfolio towards digital communication. The merger was financed by the private equity company Holland Capital.

“The collaboration with House of Clouds is a strategic step that aligns closely with our vision of offering comprehensive services around digital acceleration to our clients,” said Dennis Gilliam, CEO of Ambient Digital. “Together, we can expand our services in the areas of digital strategy, data & AI, software engineering, and cyber security. We are committed to delivering outstanding results for our clients and achieving sustainable success.”

The Osborne Clarke team advising Ambient Digital, led by Dr Philipp Reeb, consisted of Dr Björn Hürten, Efthimios Detsikas and Dr Patrick Stadtbäumer (all M&A) as well as Florian Merkle and Patrick Seiler (both Tax). The German Osborne Clarke team was supported by M&A colleagues Marie-Louise Weeda and Casper Schnepper from the international legal practice’s Amsterdam office.
