Osborne Clarke has advised WiNRG GmbH on the sale of a German photovoltaic project to the Dutch company Novar.
WiNRG GmbH, based in Hamburg, specialises in renewable energy projects worldwide with a strong focus on the project development of ground-mounted photovoltaic plants in Germany. In addition to its own project development, the company, which was founded in 2017, also provides the evaluation and coordination of acquisitions, construction supervision for wind and solar plants and long-term O&M services.
The Hamburg-based renewable energy developer has now sold a project for the construction of a photovoltaic plant with an expected capacity of between 91 and 156 MWp to Novar, formerly Solarfields. By purchasing the planned large-scale project, the Dutch developer and independent power producer is expanding its renewable energy portfolio and entering the German market for the first time.
The transaction, which was realised as part of a share purchase agreement, also includes further arrangements for development services. The solar plant in Lower Saxony is scheduled to be ready for construction by the second quarter of 2026.
“Our rapid growth in the competitive German photovoltaic market, coupled with our experience from other key European markets, has enabled us to establish partnerships and develop a pipeline of medium and large-scale ground-mounted PV plants,” says David Majert, Managing Director at WiNRG.
Dr Jens Wrede of Osborne Clarke advised WiNRG on the tax aspects of the transaction and on the tax provisions in the share purchase agreement.
