Osborne Clarke has advised Allgeier SE on the sale of the personnel services business bundled under Allgeier Experts Holding to Emagine GmbH.
Allgeier is one of the major full-service providers of software solutions and IT services with its own software products in Germany. More than 3,500 employees serve over 2,000 customers from the public sector, corporations, as well as market and industry leaders.
The company has now agreed with Emagine GmbH on the sale of the personnel services business bundled under Allgeier Experts Holding. Allgeier Experts is a provider of personnel and project solutions specialising in IT and engineering services, offering a range of services from recruitment and placement of freelancers to temporary employment and full-service outsourcing solutions. Emagine is a leading international consulting firm for IT, business and engineering, headquartered in Copenhagen, Denmark.
However, the business unit Allgeier Public (IT personnel services with a focus on temporary employment), which has been managed separately for two years, will remain part of the Allgeier Group. With the sale, Allgeier continues the strategic transformation begun in 2021 after the spin-off of Nagarro SE into a software and IT services company. The goal is to focus on core competencies in creating software solutions and providing IT services to digitise business-critical company processes. The released capital offers opportunities to continue the successful buy-and-build strategy.
The closing of the transaction is expected in the coming weeks, subject to approval by the antitrust authorities.
