Fund formation
Successfully launching a new venture capital fund is a complex and involved business. Our market-leading venture capital funds team has been helping VCs to successfully structure, launch, manage and operate their funds and other investment structures for many years and our experience covers a vast range of legal structures and strategies spanning angel collectives/syndicates, EIS funds and GP/LP funds (early-stage all the way through to late-stage and growth capital). We can assist you in the design and launch of new fund structures, management and ownership arrangements, structuring carried-interest and co-investment, internal governance, compliance and operations, spinouts/fund restructurings and secondary transactions. We are familiar with dealing with the range of limited partners investing into venture capital funds, whether that be high net-worth individuals, family offices, strategic corporates, British Business Bank (including the ECF program), pension funds and insurance companies, fund of funds, development finance institutions and others.
