Osborne Clarke advised Germani S.p.a (a company based in Brescia and leader on the Italian and international market for the road haulage of chemicals, fuel, industrial waste and cryogenic gases) in the transaction that led it to enter into partnership with Trasporti Vecchi Zironi S.r.l. (“V&Z”), a company operating in the transport of food, chemicals and specials wastes.
The transaction, completed by way of the acquisition of a majority shareholding by Germani in V&Z, will allow V&Z to realise an important development plan based on environmental sustainability which has been fully shared with Germani. The Vecchi and Zironi families will continue as minority shareholders.
In addition to increasing the turnover of both companies in Italy and abroad, the aim of the partnership is to accelerate V&Z's “Progetto Green” directed at placing an absolute focus on environmental sustainability of the business, assisted by the skills provided by Germani, which has been making key investments in this direction for some years.
Osborne Clarke advised Germani on the legal aspects with a team led by managing partner Riccardo Roversi and composed of partner Alessandro Villa with Giulia Basile and Chiara Carioti. Gea Condorelli, Cristina del Pezzo di Caianiello, Vincenzo Colasante and Carolina Scolari also advised on the due diligence.
Vitale & Co acted as financial advisor to Germani while Spada Partners managed the fiscal due diligence exercise.
