Shona Toms

Shona is an Associate Director in the Commercial department specialising in commercial transactions and procurement.

Shona advises clients on a broad range of commercial projects in a variety of sectors, including retail, manufacturing, waste and energy and transport.  Her work includes the drafting and negotiation of major multi-party outsourcing and procurement contracts, high value/complex supply of goods and services contracts, standard Ts&Cs and international sales transactions, and sales channel arrangements including franchising, agency, distribution and concession agreements.

Shona regularly advises on contract structuring, regulatory issues and contractual provisions including indemnities and liabilities, guarantees, performance regimes and default remedies, dispute resolution provisions, contract variations and termination compensation payments.

Shona joined Osborne Clarke in February 2015 having worked previously in the Commercial Team at Bevan Brittan LLP where she trained and subsequently qualified in 2008.
