Osborne Clarke has advised the Koblenz-based education start-up Sdui on the purchase of the school and daycare messenger provider Fox Education Services GmbH as well as on another financing round of EUR 21 million.

Since its founding in Koblenz in 2018, the Sdui Group has been supporting educational institutions, sponsors, and ministries in the digitalisation of education by developing operating systems for digital schools and daycares. The aim of the platform is to connect educational professionals, parents and children, as well as to reduce the effort for administrative tasks, thereby creating more time for education. For this purpose, the Sdui Group offers GDPR-compliant solutions with functions such as chat, translation features, cloud, class register, or AI timetable planner. The company currently employs around 230 people and is active in more than 70 countries.

Now, Sdui is strengthening its market-leading position with an acquisition: The company has acquired a direct competitor – the school and daycare messenger provider FoxEducation with its brands SchoolFox, KidsFox and TeamFox – from Europe's largest tutoring company GoStudent. As a result, the Sdui Group now serves a customer base of 22,000 educational institutions across Europe.

At the same time, Sdui has raised additional capital: Led by Summiteer and HV Capital, new and existing investors such as HTGF, Haniel, Brighteye, and Michael Hinderer invested a total of EUR 21 million in the EdTech company.

The Sdui Group plans to use the new funds to further invest in its platforms and make everyday life in schools and daycares even easier.

The Osborne Clarke team, that advised Sdui in cooperation with Schönherr Rechtsanwälte GmbH, Vienna, led by Dr. Benjamin Monheim (Partner) and Dr. Jana Bertus (both Corporate / VC), consisted of Olexiy Oleshchuk, Arsen Dutka (both Banking & Capital Markets) and Dr. Maximilian Orthmann (Energy).
