International legal practice Osborne Clarke has advised German game developer Black Forest Games GmbH on the acquisition by the Swedish THQ Nordic. Also, an asset purchase Agreement with Black Forest Games was concluded to acquire the intellectual properties of game classic “Giana Sisters”, “Helldorado” and “Rogue Stormers” amongst other assets.
A potential performance based earnout to the five founders is also an addition. They will stay on board to continue the success story of the 50 people studio.
An Osborne Clarke team led by Nicolas Gabrysch advised longstanding client Black Forest Games on the transaction. It included Rudolf-Matthias Hübner (both M&A), Konstantin Ewald and Felix Hilgert (both games law). Swedish firm Setterwalls advised on Swedish law.
